Website Services Agreement

Effective Date: August 2026

This Agreement, together with Client's selected package, care plan, and checkout information, governs services purchased from Taylored & Coded. Please read it in full before accepting at checkout.

This Website Services Agreement ("Agreement") is entered into between Taylored & Coded ("Taylored & Coded," "T&C," "we," "us," or "our") and the individual or business purchasing services ("Client," "you," or "your").

By electronically signing this Agreement, checking the applicable acceptance box during checkout, or otherwise purchasing services subject to this Agreement, Client acknowledges that Client has read, understands, and agrees to these terms.

1. Services

Taylored & Coded provides custom website development, business dashboard development, website hosting, website maintenance, and related digital services.

The services provided to Client are determined by the package, care plan, and any additional services selected or purchased by Client.

2. Custom Site — $275

The Custom Site package includes a custom-coded business website containing up to three (3) pages.

The exact number of pages, page structure, sections, layout, and design will be based on Client's business, content, goals, and project requirements.

The Custom Site package may include, as applicable:

The package includes up to three pages, rather than a guaranteed minimum number of pages. Taylored & Coded may recommend fewer than three pages when a smaller structure better serves Client's content and business goals.

Unused pages have no cash value and may not be exchanged for other services, credited toward future work, or transferred to another project.

Additional pages, features, integrations, or functionality require a separate quote or paid upgrade.

3. Custom Site + Business Dashboard — $500

The Custom Site + Business Dashboard package includes the Custom Site described above plus one private internal business dashboard.

The dashboard is designed around one primary business workflow.

The exact dashboard structure is determined by the Client's questionnaire, submitted information, and agreed project scope.

The $500 package is intended for a simple internal business workflow.

Unless expressly included in writing, the following are outside the standard $500 package:

Taylored & Coded may provide a separate quote for functionality outside the included scope.

4. Required Monthly Plan

Every website developed under the $275 or $500 package requires an active Taylored & Coded monthly plan while Taylored & Coded hosts and manages the website. Client is not choosing whether to maintain an active monthly plan — Client is choosing which level of ongoing service is included.

Client must select a monthly plan when purchasing the website.

For the $275 Custom Site package, Client selects one of the following:

Hosting — $4.99/month (the minimum required plan)
or
Essential Care — $24.99/month
or
Managed Care — $39.99/month

For the $500 Custom Site + Business Dashboard package, Managed Care — $39.99/month is required. No other plan is available for this package, as this plan also covers the ongoing infrastructure and management associated with Client's private business dashboard.

Recurring plan billing begins when Client's website launches, except as otherwise provided in this Agreement.

If Client cancels the applicable monthly plan, Taylored & Coded's hosting of Client's website ends, and Client may pursue the transfer or offboarding process described elsewhere in this Agreement. Client is not obligated to maintain a monthly plan with Taylored & Coded indefinitely.

5. Hosting, Essential Care & Managed Care Plan Details

Hosting — $4.99/month

Hosting includes:

Hosting does not include domain management, routine technical/site review, or Client-requested content updates. Website modifications, content changes, new features, new pages, domain management, or other development requested by a Hosting-plan Client may be purchased separately.

Essential Care — $24.99/month

Essential Care includes everything in the Hosting plan, plus:

The monthly website review may include checking:

Essential Care does not include routine Client-requested content updates. Website modifications, content changes, new features, new pages, or other development requested by an Essential Care Client may be purchased separately.

6. Managed Care — $39.99/month

Managed Care includes all Essential Care services plus:

Qualifying small updates may include:

Each accepted update request generally counts as one of Client's three included monthly updates.

Unused updates expire at the end of each billing cycle. Unused updates do not roll over, accumulate, transfer, or create a monetary credit.

The following are outside the Managed Care update allowance:

Taylored & Coded may provide a separate quote for these services.

7. Initial Care-Plan Commitment

Clients purchasing a standard $275 or $500 website agree to maintain their selected care plan for a minimum of three (3) months following website launch.

The initial three-month care-plan commitment is part of the Client's website-service purchase.

Client may not cancel the required care plan during the initial three-month term except where cancellation rights are required by applicable law.

After completion of the initial three-month term, the care plan automatically continues on a month-to-month basis until canceled in accordance with Section 28 of this Agreement.

8. Payment for Website Development

The applicable website-development fee is due at checkout unless Taylored & Coded agrees to different payment terms in writing.

Standard development fees are:

Custom Site — $275
Custom Site + Business Dashboard — $500

Payment of the development fee reserves Client's project and initiates the onboarding process.

Development will not begin until Taylored & Coded has received the required payment and Client has completed the applicable onboarding requirements.

Additional work outside Client's purchased package requires additional payment.

9. Client Onboarding

After purchasing services, Client will receive onboarding materials.

Client is responsible for completing the applicable questionnaire and providing the information and materials necessary for Taylored & Coded to complete the project.

10. Client Questionnaire

Client will receive a questionnaire designed to help Taylored & Coded understand Client's:

Clients purchasing the Business Dashboard package will also provide information regarding the primary workflow the dashboard is intended to manage.

Taylored & Coded may rely on the information submitted through Client's questionnaire when designing and developing the project.

11. Project Content and Google Folder

Client's private project folder is used to provide website materials.

Client may be asked to provide:

Client is responsible for ensuring submitted materials are complete and accurate.

12. Inspiration Materials

Client may provide screenshots, website examples, layouts, color references, or other materials as design inspiration.

Inspiration is used to communicate Client's preferences.

Taylored & Coded is not obligated to copy, reproduce, or substantially duplicate another website, design, brand, copyrighted work, or protected creative material.

Taylored & Coded will create an original implementation appropriate for Client's project.

13. Seven-Day Content Period

Unless otherwise agreed in writing, Client has seven (7) calendar days from receipt of the onboarding materials to complete the required questionnaire and provide the requested project content.

Taylored & Coded may send reminders during this period.

Failure to provide the required materials within seven days may result in:

An extension may be granted at Taylored & Coded's discretion.

Payment of the development fee does not guarantee a specific development or launch date when Client onboarding is incomplete.

14. Ready to Build

Once Client has completed the applicable questionnaire and project folder, Client must submit the Ready to Build form.

Submission of the Ready to Build form confirms that:

After Ready to Build is submitted, Taylored & Coded may change Client's project-folder access from Editor to Viewer.

Content submitted or changed after Ready to Build may be treated as a revision, additional work, or a paid upgrade depending on the nature of the request.

15. Project Timeline

Any project timeline provided by Taylored & Coded is an estimate unless a specific completion date is expressly guaranteed in writing.

Project timelines may be affected by:

Taylored & Coded will make commercially reasonable efforts to complete projects within communicated timelines.

16. Project Scope

Taylored & Coded will develop the project according to the purchased package and information submitted during onboarding.

Requests outside the original package or agreed scope may require:

Taylored & Coded will determine whether a request falls within the original project scope.

Client is not required to purchase additional work that was not included in the original package.

17. Website Review

When the initial website is ready for review, Taylored & Coded will provide Client with access to a website preview.

Client is responsible for reviewing the entire website, including:

Client should identify all desired qualifying revisions before submitting the Revision Form.

18. Included Revision Round

The standard $275 and $500 packages include one (1) revision round.

A revision round consists of one consolidated submission of qualifying changes through Taylored & Coded's designated Revision Form.

Qualifying revisions are reasonable modifications to work already included in the original project scope.

Additional revision rounds or out-of-scope requests may require an additional fee.

19. Final Approval

After qualifying revisions are completed, Client will receive the final website for approval.

Client must submit Taylored & Coded's Approve for Launch form or provide another written form of approval accepted by Taylored & Coded.

By approving the website, Client confirms that Client has reviewed and approves:

Client authorizes Taylored & Coded to proceed with launch.

20. Website Launch

After Client approval, Taylored & Coded will complete applicable final launch steps.

These may include:

The website is considered launched when it becomes publicly accessible through the designated production domain or other live web address approved for Client's project.

21. Start of Recurring Billing

Client's selected monthly care plan begins on the website's launch date.

Client authorizes Taylored & Coded and its payment processor to charge the payment method on file for recurring care-plan charges.

Recurring billing will continue according to Client's selected plan until canceled in accordance with this Agreement.

If Taylored & Coded has completed the website and Client delays launch by failing to provide approval, domain access, required information, or another Client-controlled requirement, Taylored & Coded may begin recurring care-plan billing thirty (30) days after the completed website was first provided for Client review.

Taylored & Coded will provide Client notice before initiating recurring billing under this provision.

This provision does not apply when launch is delayed solely because Taylored & Coded has not completed its required work.

22. Client Content and Representations

Client is responsible for all content and information supplied to Taylored & Coded.

Client represents that Client owns or has permission to use all submitted:

Client is responsible for the accuracy and legality of:

Taylored & Coded may refuse to publish content that Taylored & Coded reasonably believes is unlawful, fraudulent, infringing, malicious, or otherwise inappropriate.

23. Client Materials and Data

Client retains ownership of original materials provided by Client.

Client retains ownership of Client's business data and customer data.

Client grants Taylored & Coded a limited right to access, reproduce, modify, transmit, host, process, and display Client materials as reasonably necessary to provide the contracted services.

Taylored & Coded will not claim ownership of Client's underlying business data.

24. Website Intellectual Property

Upon full payment of all amounts due for the original website-development project, Client receives the rights granted under this section to use the completed website for Client's business.

Client owns Client-provided materials.

To the extent Taylored & Coded creates original Client-specific content or design elements exclusively for Client and those materials are expressly identified as transferable deliverables, Taylored & Coded may transfer or license those rights to Client as applicable.

Taylored & Coded retains ownership of its reusable development technology as described below.

25. Taylored & Coded Retained Technology

Taylored & Coded retains all rights, title, and interest in its pre-existing and reusable technology, including:

Taylored & Coded may reuse these materials in other projects.

Client's purchase does not grant Client ownership of Taylored & Coded's general development systems or reusable technology.

Any third-party or open-source software remains subject to its applicable license terms.

26. Domain Ownership and Management

A domain purchased specifically for Client's business is intended to belong to Client.

Taylored & Coded may purchase, register, configure, renew, or manage Client's domain while Client maintains an applicable active care plan.

Where reasonably practical, domain registration information will identify Client or Client's business as the registrant.

Client is responsible for providing accurate registration information.

If Client already owns a domain, Client retains ownership of that domain.

Taylored & Coded's management of a domain does not transfer ownership of the domain to Taylored & Coded.

27. Third-Party Services

Taylored & Coded may use third-party services to provide website functionality.

These may include:

Third-party services are governed by their own terms, policies, availability, and pricing.

Taylored & Coded does not control independent third-party providers and cannot guarantee their continued availability or functionality.

Third-party fees not expressly included in Client's package or care plan are Client's responsibility.

28. Cancellation After Initial Term

Standard-package Clients may cancel their care plan after completing the initial three-month care-plan commitment.

After the initial three-month term, care plans continue on a month-to-month basis until canceled in accordance with this Agreement.

Cancellation Process

To cancel the care plan, Client must provide written notice by emailing tayloredandcoded@gmail.com at least thirty (30) days prior to the requested cancellation date.

Cancellation requests must include:

Taylored & Coded will confirm receipt of the cancellation request by email.

Cancellation will become effective at the end of the thirty (30) day notice period.

Client remains responsible for all fees, charges, and billing obligations incurred during the notice period.

Cancellation does not relieve Client of responsibility for unpaid balances accrued before the effective cancellation date.

All fees paid before the effective cancellation date are nonrefundable, including fees for services already rendered and billing periods that have commenced.

29. Effect of Cancellation

When Client's care plan ends, Taylored & Coded's obligation to provide ongoing services ends.

Depending on Client's plan and services, this may include termination of:

If Client intends to continue using the website after Taylored & Coded hosting ends, Client must arrange for the website to be transferred to another suitable hosting provider.

Client should request transfer services before the effective cancellation date to reduce the possibility of service interruption.

30. Website Transfer and Offboarding

A Client whose account is paid in full may request transfer of eligible website materials.

A transfer fee applies only when Client requests that Taylored & Coded prepare and facilitate a transfer. If Client cancels the applicable monthly plan and does not request a transfer, no transfer fee applies — Client's hosting simply ends according to the cancellation terms of this Agreement.

Transfer fees are:

Website Transfer — $125
Preparation and release of eligible website files, Client-owned content, applicable domain transfer information, and reasonable handoff information.

Website + Dashboard Transfer — $275
Includes the Website Transfer plus preparation and transfer of eligible dashboard files, Client-owned data, applicable Supabase resources, and reasonable technical handoff information.

Transfer fees cover preparation and handoff only. Setup, migration, deployment, modification, troubleshooting, or development within a new provider's environment is billed separately at $75/hour.

Eligible transferable materials may include:

Any transfer fee will be disclosed to Client before transfer work begins.

Transfer assistance may include:

Taylored & Coded's proprietary systems, internal tools, reusable frameworks, private credentials, development infrastructure, and non-transferable third-party technology are excluded from transfer.

31. Responsibility After Transfer

Once Client's website is transferred away from Taylored & Coded, Taylored & Coded is no longer responsible for the website's:

Client or Client's new provider becomes responsible for operating and maintaining the transferred website.

Additional assistance requested after transfer may require a separate fee.

32. Business Dashboard Transfer

Business dashboards may depend on databases, hosting infrastructure, authentication systems, APIs, server functions, cloud storage, email systems, and other technical services.

Upon eligible termination and payment of all outstanding amounts, Taylored & Coded will make Client-owned data reasonably available for transfer where technically practical.

Taylored & Coded does not guarantee that a dashboard will operate in another provider's environment without additional:

Client is responsible for obtaining appropriate technical support for operation of the dashboard after transfer.

33. Failed Payments

Client is responsible for maintaining a valid payment method for recurring services.

If a payment fails, Taylored & Coded or its payment processor may attempt to process the payment again.

Taylored & Coded may notify Client of the failed payment.

If the account remains unpaid, Taylored & Coded may suspend some or all services, including:

If an account remains unpaid for thirty (30) days, Taylored & Coded may terminate ongoing services.

Termination does not eliminate Client's responsibility for outstanding amounts.

34. Additional Development and Paid Upgrades

Client may request development outside the original package or monthly care plan.

Additional development may include:

Taylored & Coded may provide a separate price for the requested work.

Additional development is not scheduled until required payment and project information have been received unless otherwise agreed in writing.

Paid upgrades are scheduled according to Taylored & Coded's development availability.

35. Website Availability

Taylored & Coded will use commercially reasonable efforts to maintain websites covered by an active care plan.

Continuous or uninterrupted website availability is not guaranteed.

Temporary interruptions may result from:

Taylored & Coded will use reasonable efforts to address issues within its control.

36. Managed Care Portal

Managed Care Clients may receive access to a private portal used to submit and track website update requests and manage applicable care services.

Client is responsible for maintaining the confidentiality of Client's login credentials.

Client must promptly notify Taylored & Coded of suspected unauthorized account access.

Portal functionality may change as Taylored & Coded updates or improves its services.

37. Data Retention After Termination

Following termination of services, Taylored & Coded may retain Client website files and data for a limited transition period.

Client is responsible for requesting eligible website files and Client-owned data before any communicated deletion deadline.

Taylored & Coded may permanently delete hosted website files, dashboard data, uploads, or other materials after the applicable retention period.

Taylored & Coded may retain records where reasonably necessary for:

38. Portfolio and Marketing Rights

Unless Client requests otherwise in writing before website launch, Client grants Taylored & Coded permission to display Client's public-facing completed website for Taylored & Coded's:

This permission may include Client's:

Taylored & Coded will not intentionally publicly display Client's private dashboard information, confidential information, passwords, or customer data for portfolio purposes.

39. No Guarantee of Business Results

Taylored & Coded provides website development and related technical services.

Taylored & Coded does not guarantee:

Client acknowledges that website results depend on numerous factors outside Taylored & Coded's control.

40. Client Legal and Regulatory Responsibility

Client is responsible for determining the laws, regulations, licensing requirements, privacy requirements, accessibility obligations, disclosures, tax requirements, industry rules, and other legal obligations applicable to Client's business and website.

Unless expressly agreed in writing, Taylored & Coded does not provide legal, tax, accounting, regulatory, or industry-compliance advice.

Client should obtain advice from qualified professionals where appropriate.

41. Confidentiality

Each party may receive non-public information from the other while performing this Agreement.

Each party agrees to use reasonable care to protect confidential information and use it only as reasonably necessary to perform or receive the services.

Confidential information does not include information that:

42. Security

Taylored & Coded will use reasonable technical and organizational measures appropriate to the services being provided.

No internet-based website, database, hosting environment, or digital system can be guaranteed to be completely secure.

Client is responsible for protecting Client-controlled passwords, accounts, devices, credentials, email accounts, and third-party accounts.

Client must promptly notify Taylored & Coded of suspected unauthorized access affecting services provided under this Agreement.

43. Limitation of Liability

To the maximum extent permitted by applicable law, Taylored & Coded will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to the services.

This includes, where legally permitted, damages arising from lost profits, lost revenue, lost business opportunities, loss of data, third-party service failures, website downtime, or business interruption.

To the maximum extent permitted by applicable law, Taylored & Coded's aggregate liability arising from a particular one-time development project will not exceed the amount Client paid Taylored & Coded for that project.

For claims arising specifically from recurring care services, Taylored & Coded's aggregate liability will not exceed the recurring care-plan fees paid by Client during the six (6) months immediately preceding the event giving rise to the claim.

Nothing in this section limits liability that applicable law prohibits the parties from limiting.

44. Indemnification

To the extent permitted by applicable law, Client agrees to indemnify and hold harmless Taylored & Coded from third-party claims, liabilities, damages, losses, and reasonable costs arising from:

This provision does not require Client to indemnify Taylored & Coded for liability that applicable law prohibits Taylored & Coded from transferring to Client.

45. Force Majeure

Neither party will be liable for delay or failure to perform caused by circumstances beyond that party's reasonable control.

Such circumstances may include natural disasters, widespread internet outages, major hosting outages, governmental actions, war, civil emergencies, labor disruptions, major infrastructure failures, or other comparable events beyond reasonable control.

The affected party will use reasonable efforts to resume performance when practical.

46. Electronic Communications

Client agrees that Taylored & Coded may communicate electronically using the email address, portal account, telephone number, or other contact information Client provides.

Electronic communications may include agreements, project information, invoices, payment notices, onboarding materials, review notices, approval requests, maintenance notices, cancellation confirmations, and other service-related communications.

Client is responsible for maintaining accurate contact information.

47. Electronic Acceptance and Signature

Client agrees to conduct transactions with Taylored & Coded electronically.

Client's electronic signature, checkbox acceptance, checkout acceptance, or other electronic method used to indicate agreement constitutes Client's acceptance of this Agreement to the extent permitted by applicable law.

Client should retain a copy of this Agreement for Client's records.

48. Changes to Ongoing Services

Taylored & Coded may modify features, processes, or operational details of ongoing services as reasonably necessary to maintain or improve the service.

Taylored & Coded may also change future care-plan pricing.

Any material change to an existing Client's recurring price or contractual obligations will be communicated in advance as required by applicable law and this Agreement.

The version of this Agreement accepted when Client purchases the original development project governs that project unless the parties later agree otherwise in writing.

49. Governing Law

This Agreement is governed by the laws of the State of Georgia, without regard to its conflict-of-law principles.

The parties agree that any legal proceeding arising from this Agreement will be brought in a court of competent jurisdiction located in the State of Georgia, subject to any applicable law requiring a different venue.

50. Severability

If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions will remain in effect.

Where permitted, an invalid or unenforceable provision will be interpreted or modified only to the extent necessary to make it enforceable while preserving its intended purpose.

51. Waiver

A party's failure to enforce any provision of this Agreement does not constitute a permanent waiver of that provision or the right to enforce it later.

52. Assignment

Client may not assign this Agreement to another individual or business without Taylored & Coded's written consent.

Taylored & Coded may assign this Agreement in connection with a merger, acquisition, restructuring, sale of the business, or transfer to an affiliated or successor entity, subject to applicable law.

53. Entire Agreement

This Agreement, together with Client's selected package, selected care plan, checkout information, applicable questionnaire, approved custom quote, approved project scope, approved additional-development orders, and other expressly incorporated written terms, constitutes the agreement between Client and Taylored & Coded regarding the applicable services.

If a separately signed custom project agreement expressly conflicts with this Agreement, the separately signed agreement controls only regarding the specific conflicting term.

54. Client Acknowledgment

By accepting this Agreement, Client confirms that Client:
